Terms and Conditions

The terms governing access to and use of NexaMed across web, mobile, and API surfaces, operated by Celron Ventures Private Limited.

These Terms and Conditions ("Terms") govern your access to and use of NexaMed, including its website, mobile application, web application, dashboard, software modules, APIs, communications, appointment tools, healthcare workflow tools, digital health records tools, artificial intelligence-assisted features, and any other products or services offered under the brand name NexaMed (collectively, the "Platform").

The Platform is owned, operated, and made available by Celron Ventures Private Limited, a company incorporated under the laws of India, having CIN U35105DL2024PTC437316 and its registered office at House No. 3398 B/1, Plot 16, Ground Floor, Mahindra Park, Rani Bagh, North West Delhi, Delhi, India – 110034 ("Celron", "Company", "NexaMed", "we", "us", or "our").

By accessing, registering on, browsing, integrating with, subscribing to, or using the Platform in any manner, you agree to be bound by these Terms, the NexaMed Privacy Policy, any applicable subscription terms, service-specific terms, consent forms, data processing terms, and any other policies or notices made available by NexaMed from time to time (collectively, the "Agreement").

If you do not agree with any part of this Agreement, you must not access or use the Platform.

These Terms apply to all persons and entities accessing or using NexaMed, including but not limited to:

  1. Patients / End Users: individuals who search for healthcare providers, book appointments, access health information, maintain health records, use patient-facing workflows, receive reminders, interact with healthcare providers, or otherwise use patient services on the Platform.
  2. Healthcare Practitioners: doctors, registered medical practitioners, dentists, nurses, physiotherapists, allied health professionals, counsellors, therapists, pharmacists, diagnostic professionals, or other healthcare professionals who use the Platform or are listed on it.
  3. Healthcare Organizations: hospitals, clinics, laboratories, pharmacies, diagnostic centres, wellness centres, medical colleges, research units, healthcare startups, or similar entities using NexaMed for operations, workflows, listings, appointment management, patient engagement, or clinical/administrative coordination.
  4. Authorized Staff / Workforce Users: receptionists, clinic administrators, hospital staff, medical assistants, interns, billing staff, operations teams, call-centre staff, and any other users authorized by a healthcare organization or practitioner to access NexaMed.
  5. Visitors and General Users: any person who browses the Platform without creating an account.
  6. Developers / Integration Partners: persons or entities using NexaMed APIs, SDKs, integrations, plugins, or connected services.

Different features may be subject to additional terms. If there is a conflict between these Terms and any feature-specific or subscription-specific terms, the feature-specific or subscription-specific terms shall apply to that specific feature or service, unless expressly stated otherwise.

NexaMed is a healthcare technology platform. Depending on the modules enabled, NexaMed may provide some or all of the following services:

  1. practitioner, clinic, hospital, laboratory, pharmacy, or healthcare facility listings;
  2. appointment discovery, booking, rescheduling, cancellation, and reminders;
  3. patient registration, intake forms, consent capture, queue management, and follow-up workflows;
  4. electronic health records, documents, prescriptions, reports, discharge summaries, clinical notes, and related digital record tools;
  5. hospital, clinic, or practice management tools;
  6. billing, payments, receipts, estimates, invoices, and related administrative workflows;
  7. teleconsultation, chat, audio, or video consultation tools, where enabled;
  8. AI-assisted tools for summarization, workflow automation, triage assistance, transcription, coding support, documentation assistance, patient navigation, or other healthcare-adjacent workflows;
  9. communication tools, including SMS, WhatsApp, email, in-app notifications, phone call routing, and reminders;
  10. analytics, dashboards, and operational insights for healthcare providers and organizations;
  11. APIs and integrations with third-party systems, hospitals, laboratories, pharmacies, payment gateways, government digital health infrastructure, or other software services.

NexaMed may add, modify, suspend, or discontinue any feature at its discretion, subject to applicable law and any written contract entered into with an institutional customer.

NexaMed is not an emergency medical service, ambulance service, emergency response platform, crisis hotline, or substitute for urgent in-person medical care.

If you are experiencing a medical emergency, severe symptoms, suicidal thoughts, chest pain, stroke-like symptoms, difficulty breathing, major bleeding, loss of consciousness, poisoning, severe allergic reaction, trauma, obstetric emergency, or any urgent or life-threatening condition, you must immediately contact local emergency services, visit the nearest emergency department, or consult an appropriate medical professional in person.

NexaMed does not guarantee emergency response, immediate medical attention, doctor availability, ambulance availability, diagnosis, treatment, or clinical outcomes.

NexaMed is a technology provider and does not itself practice medicine, provide medical diagnosis, prescribe treatment, perform medical procedures, or replace the professional judgment of a qualified healthcare provider.

Any medical advice, diagnosis, prescription, treatment plan, clinical recommendation, investigation order, referral, certificate, or medical opinion is provided solely by the concerned healthcare practitioner or healthcare organization and not by NexaMed.

Users understand and agree that:

  1. NexaMed does not create a doctor-patient relationship with any patient merely by providing the Platform.
  2. A doctor-patient relationship, if any, exists only between the patient and the relevant healthcare practitioner or healthcare organization.
  3. NexaMed is not responsible for medical negligence, wrong diagnosis, wrong medication, quality of treatment, clinical judgment, professional misconduct, non-availability, fee variation, or any act or omission of a healthcare provider.
  4. Patients must independently evaluate the suitability of any healthcare provider before seeking medical services.
  5. Healthcare providers remain solely responsible for the clinical care they provide and for complying with all professional, ethical, regulatory, and statutory obligations.

NexaMed may offer artificial intelligence-assisted or automation-enabled features, including but not limited to transcription, summarization, clinical note drafting, appointment routing, symptom intake, patient prioritization, coding suggestions, report structuring, medication or investigation checklist support, workflow automation, and operational recommendations ("AI Features").

AI Features are provided only as assistive tools and must not be treated as final medical advice, diagnosis, prescription, or treatment direction. AI outputs may be incomplete, inaccurate, outdated, biased, or unsuitable for a particular patient or clinical context.

Healthcare practitioners and healthcare organizations using AI Features agree that:

  1. AI outputs must be independently reviewed and validated by a qualified professional before being used for any clinical, administrative, billing, legal, or patient-facing purpose.
  2. NexaMed does not guarantee the accuracy, completeness, clinical appropriateness, regulatory suitability, or safety of AI outputs.
  3. AI Features must not be used as the sole basis for diagnosis, prescribing, triage, emergency decision-making, discharge, admission, surgery, or any high-risk medical decision.
  4. Users must not input data into AI Features unless they have the right, consent, authorization, and lawful basis to do so.
  5. Users remain responsible for verifying all generated content before storing, sharing, printing, signing, or communicating it.
  6. NexaMed may monitor, log, evaluate, or improve AI Features in accordance with its Privacy Policy, data processing terms, and applicable law.

Patients using AI-assisted patient tools understand that such tools are informational and workflow-supportive only. They are not a substitute for consultation with a qualified healthcare provider.

You must be legally capable of entering into a binding agreement to use the Platform.

For individual users, you must generally be at least 18 years of age. Minors may use the Platform only through a parent, lawful guardian, or legally authorized representative, unless otherwise permitted by applicable law and Platform design.

By using NexaMed, you represent and warrant that:

  1. you have the legal right, authority, and capacity to enter into this Agreement;
  2. all information submitted by you is true, accurate, current, and complete;
  3. your use of the Platform will comply with applicable law;
  4. where you act on behalf of another person, patient, clinic, hospital, company, or organization, you have valid authority to do so.

NexaMed may refuse, suspend, or terminate access if it believes that a user is ineligible, unauthorized, or acting unlawfully.

Some services require registration and creation of an account. You are responsible for maintaining the confidentiality of your login credentials, password, OTPs, API keys, devices, and account access.

You agree to:

  1. provide accurate and updated account information;
  2. not share your account credentials with unauthorized persons;
  3. immediately notify NexaMed of suspected unauthorized access or security incidents;
  4. use strong passwords and reasonable security practices;
  5. ensure that authorized staff accounts are assigned only to appropriate persons;
  6. promptly deactivate staff accounts when a staff member leaves, changes roles, or no longer requires access;
  7. accept responsibility for activities carried out through your account, except where caused solely by NexaMed's proven fault.

NexaMed may implement multi-factor authentication, role-based access control, session limits, device verification, audit logs, or other security controls.

Patients and end users agree that they shall:

  1. provide accurate personal, demographic, medical, contact, insurance, and payment information;
  2. not misrepresent symptoms, identity, age, medical history, allergies, medications, pregnancy status, prior diagnosis, or investigation reports;
  3. not use another person's health records without authorization;
  4. not misuse appointments, call features, teleconsultation features, or messaging tools;
  5. attend appointments on time or cancel/reschedule in accordance with applicable provider policy;
  6. follow medical advice only after consulting a qualified healthcare provider;
  7. not delay emergency or in-person care because of the Platform;
  8. verify provider details, fees, location, availability, and service suitability before visiting or making payment;
  9. use prescriptions, reports, and medical records responsibly and lawfully;
  10. not upload unlawful, abusive, misleading, obscene, defamatory, infringing, or harmful content.

Patients understand that delays, cancellations, provider non-availability, queue changes, fee changes, and clinical outcomes may occur for reasons outside NexaMed's control.

Healthcare practitioners using NexaMed represent and warrant that they:

  1. hold valid registration, licenses, qualifications, permissions, and professional approvals required to provide the services they offer;
  2. shall keep their registration details, qualifications, specialties, services, experience, fees, availability, address, contact details, and profile information accurate and updated;
  3. shall comply with all applicable medical, dental, nursing, pharmacy, allied health, professional, ethical, telemedicine, prescription, advertising, patient confidentiality, and record-keeping laws and standards;
  4. shall not claim false qualifications, fake reviews, misleading rankings, guaranteed outcomes, cures, or unsupported clinical claims;
  5. shall not use the Platform for unlawful advertising, solicitation, fee-splitting, commission-based referral arrangements, or conduct prohibited by professional regulations;
  6. shall independently verify patient identity, consent, history, symptoms, documents, and clinical facts before providing medical advice;
  7. shall maintain appropriate records, consent, prescriptions, investigation orders, and documentation as required by law;
  8. shall comply with applicable telemedicine rules and professional standards when providing remote consultations;
  9. shall protect patient confidentiality and restrict access to patient data only to authorized personnel;
  10. shall promptly inform NexaMed of any suspension, cancellation, restriction, or change in professional registration or authorization.

NexaMed may request verification documents and may remove, suspend, restrict, or flag profiles where it believes information is inaccurate, misleading, unlawful, or risky to users.

Healthcare organizations using NexaMed are responsible for:

  1. ensuring that all practitioners, staff, and users operating under their account are properly authorized;
  2. ensuring that listed services, fees, facilities, timings, locations, licenses, registrations, accreditations, and clinical capabilities are accurate;
  3. managing internal access controls, permissions, and staff onboarding/offboarding;
  4. complying with clinical establishment laws, local health regulations, biomedical waste rules, patient rights obligations, billing laws, insurance requirements, data protection laws, and medical record rules;
  5. handling patient grievances, refunds, billing disputes, clinical complaints, and service quality issues relating to services provided by the organization;
  6. ensuring that uploaded records, prescriptions, reports, discharge summaries, certificates, forms, and documents are accurate and legally valid;
  7. ensuring that any third-party system integrated with NexaMed is lawfully used and properly secured;
  8. obtaining all necessary patient consents for collection, storage, sharing, transfer, and processing of health data.

NexaMed is not responsible for internal misuse of the Platform by a healthcare organization, its staff, agents, contractors, or practitioners.

NexaMed may display healthcare providers, facilities, services, or content based on location, specialty, availability, relevance, user preferences, completeness of profile, subscription status, responsiveness, patient feedback, operational metrics, platform quality signals, or other factors.

Listings, search results, badges, recommendations, profile visibility, or ranking positions do not constitute medical endorsement, certification, guarantee, or recommendation by NexaMed, unless expressly stated.

NexaMed may modify ranking logic, display rules, recommendation systems, or listing criteria from time to time. NexaMed does not guarantee any specific visibility, ranking, lead volume, appointment volume, patient conversion, revenue, or business outcome.

NexaMed may collect, verify, display, or facilitate the display of information about healthcare providers and healthcare organizations. This may include name, qualification, registration number, specialty, experience, fees, location, timings, services, photographs, patient feedback, availability, and other relevant information.

NexaMed may take reasonable steps to verify or update such information, but it does not guarantee that all information is always accurate, complete, updated, or error-free. Users should independently confirm critical information before making healthcare decisions, visiting a facility, making payment, or relying on any listing.

Healthcare providers and organizations remain responsible for the accuracy and legality of their own information.

NexaMed may enable users to book, reschedule, cancel, or manage appointments with healthcare providers. Appointment confirmation may depend on provider availability, clinic/hospital policies, payment status, queue capacity, emergency cases, staff confirmation, or other factors.

Users understand that:

  1. appointment slots displayed on the Platform may change;
  2. providers may cancel, delay, reschedule, or refuse appointments for legitimate reasons;
  3. emergency cases, procedures, hospital duties, surgery, rounds, or unforeseen events may affect appointment timing;
  4. NexaMed is not responsible for provider no-shows, delay, medical emergencies, change in consultation fee, clinic closure, or service refusal by a provider;
  5. the final decision to provide medical services rests with the concerned practitioner or healthcare organization.

NexaMed may send reminders by SMS, WhatsApp, email, phone, push notification, or other means. Non-receipt of reminders does not excuse missed appointments.

A patient may be treated as a "No-Show" if the patient books an appointment and fails to attend without timely cancellation, rescheduling, or informing the provider through available channels.

Repeated no-shows, fake bookings, abusive conduct, spam bookings, appointment hoarding, impersonation, or misuse of scheduling tools may result in warnings, temporary restrictions, cancellation of future bookings, suspension of account, or other appropriate action.

NexaMed may rely on provider reports, system logs, booking records, communications, payment status, and user responses to evaluate appointment misuse.

Where teleconsultation, chat, audio, video, or remote consultation features are enabled, they are provided as tools to connect patients and healthcare providers.

Users agree that:

  1. teleconsultation is appropriate only where the healthcare provider considers it clinically suitable;
  2. the healthcare provider may require in-person examination, laboratory tests, imaging, referral, or emergency care;
  3. patients must provide accurate identity, symptoms, medical history, allergies, medications, documents, and consent;
  4. prescriptions may be issued only by qualified and authorized healthcare providers in accordance with applicable law;
  5. certain conditions, medicines, certifications, procedures, or emergency situations may not be suitable for teleconsultation;
  6. technical issues, network failure, device problems, or poor audio/video quality may affect consultation quality;
  7. NexaMed is not responsible for clinical advice provided during teleconsultation.

NexaMed may record or store teleconsultation metadata, chat, audio, video, prescriptions, summaries, or related data where consented to, required for service delivery, required by law, or described in the Privacy Policy.

NexaMed may enable users and healthcare providers to upload, store, access, generate, transmit, or manage health records and medical documents.

Users understand that:

  1. medical records may contain sensitive personal data and must be handled carefully;
  2. uploaded documents must be accurate, lawful, and related to the correct patient;
  3. healthcare providers and organizations are responsible for clinical accuracy of records created by them;
  4. patients are responsible for verifying records uploaded or shared by them;
  5. NexaMed may not be able to independently verify the authenticity, completeness, or clinical accuracy of uploaded records;
  6. access to records may depend on account status, provider settings, consent, data retention policy, legal requirements, or technical availability.

NexaMed may retain records as described in its Privacy Policy, customer contracts, applicable law, and technical backup schedules.

NexaMed's collection and use of personal data, sensitive personal data, health data, device data, usage data, communications, and other information is governed by the NexaMed Privacy Policy.

Users must read the Privacy Policy carefully. The Privacy Policy may explain:

  1. categories of data collected;
  2. purpose and lawful basis of processing;
  3. data retention;
  4. data sharing and processors;
  5. security practices;
  6. user rights;
  7. children's data handling;
  8. cross-border transfers, if any;
  9. grievance and contact mechanisms;
  10. breach notification practices where applicable.

Users are responsible for ensuring that they have lawful authority before uploading, sharing, or processing personal data of another person through the Platform.

NexaMed may provide communication features, including phone call routing, click-to-call, masked calling, WhatsApp messaging, SMS, emails, push notifications, in-app messages, video calls, and chat.

By using such features, users agree that:

  1. communications may be logged, monitored, stored, or recorded where permitted by law, required for quality, safety, support, dispute resolution, training, fraud prevention, or compliance;
  2. NexaMed may share appointment-related or service-related information with the concerned healthcare provider or organization;
  3. call or messaging features must be used only for legitimate healthcare, appointment, support, or administrative purposes;
  4. users must not use communication features for abuse, harassment, spam, marketing without consent, fraud, unlawful recording, misinformation, or emergency consultation where urgent care is needed;
  5. NexaMed may suspend communication access if misuse is detected.

Where call recording or communication monitoring is enabled, NexaMed may provide notice and/or obtain consent as required by applicable law and Platform design.

NexaMed may enable payments for consultations, appointments, subscriptions, hospital services, diagnostic services, pharmacy services, software plans, add-ons, API usage, implementation fees, or other services.

Users agree that:

  1. fees displayed may be set by NexaMed, healthcare providers, healthcare organizations, or third-party partners depending on the service;
  2. fees may change from time to time;
  3. taxes, convenience fees, payment gateway charges, cancellation charges, platform fees, or service charges may apply;
  4. payment processing may be handled through third-party payment gateways;
  5. NexaMed is not responsible for failures, delays, reversals, chargebacks, banking errors, card/network issues, UPI failures, or gateway downtime outside its control;
  6. invoices, receipts, GST treatment, and billing responsibility may vary depending on whether NexaMed or a healthcare provider is the supplier of the relevant service;
  7. institutional subscription fees are governed by the applicable order form, subscription agreement, invoice, or commercial contract.

NexaMed may restrict access to paid services in case of non-payment, chargeback, suspected fraud, or breach of commercial terms.

Unless expressly stated otherwise in a separate written agreement signed by NexaMed or required under applicable law, all payments made through or in relation to NexaMed are final, non-cancellable, and non-refundable.

This no-refund policy applies to, including but not limited to:

  1. appointment booking fees, platform fees, convenience fees, consultation-related charges, workflow charges, and service charges;
  2. teleconsultation, chat, audio, video, documentation, transcription, AI-assisted, or digital workflow services;
  3. software subscriptions, SaaS plans, pilot plans, implementation fees, onboarding fees, training fees, customization fees, integration fees, migration fees, API usage fees, enterprise fees, and add-ons;
  4. payments made to healthcare providers, clinics, hospitals, laboratories, pharmacies, diagnostic centres, or other third-party service providers through or in connection with the Platform;
  5. failed attendance, patient no-show, delayed arrival, duplicate booking caused by the user, incorrect information provided by the user, or cancellation requested after payment.

NexaMed may, at its sole discretion and without creating any obligation or precedent, offer a rescheduling option, credit, adjustment, or refund only where:

  1. required under applicable law;
  2. expressly agreed in a signed commercial contract, order form, or written policy applicable to that specific service; or
  3. NexaMed determines that a payment was duplicated or incorrectly captured due solely to a verified technical error attributable to NexaMed or its payment processor.

NexaMed may offer paid software subscriptions, enterprise plans, pilot plans, freemium plans, API plans, usage-based plans, white-label modules, and custom deployments to healthcare providers and organizations.

Unless otherwise agreed in writing:

  1. subscriptions are billed in advance;
  2. fees are payable as per the invoice, plan, quotation, order form, or subscription agreement;
  3. NexaMed may modify plan features, limits, pricing, or usage policies with reasonable notice;
  4. non-payment may result in suspension, downgrade, restricted access, or termination;
  5. customers are responsible for taxes, regulatory charges, and payment obligations;
  6. customers must not reverse engineer, resell, sublicense, scrape, copy, or misuse NexaMed software;
  7. customers must not use NexaMed to build a competing product or service without written permission;
  8. NexaMed may impose usage limits, API rate limits, storage limits, seat limits, message limits, automation limits, or fair-use restrictions;
  9. data export, migration, or deletion after termination may be subject to technical feasibility, contractual terms, legal obligations, and payment of pending dues.

NexaMed may integrate with third-party services such as payment gateways, SMS/WhatsApp providers, email providers, cloud infrastructure, analytics tools, laboratory systems, hospital information systems, pharmacy systems, telephony providers, video platforms, identity services, government digital health systems, AI model providers, or other software platforms.

Users understand that:

  1. third-party services are governed by their own terms and privacy policies;
  2. NexaMed is not responsible for third-party downtime, data breach, pricing, accuracy, service quality, delay, or failure;
  3. integration availability may change without notice;
  4. users must ensure that their use of third-party integrations is lawful and authorized;
  5. NexaMed may disable integrations that create security, compliance, operational, or legal risk.

Users may upload or create content on NexaMed, including text, medical records, reports, prescriptions, images, audio, video, forms, profile details, feedback, messages, templates, workflows, notes, or other materials ("User Content").

By uploading User Content, you represent and warrant that:

  1. you have the right and authority to upload, use, store, process, and share such content;
  2. the content is accurate where accuracy is required;
  3. the content does not violate any law, intellectual property right, privacy right, confidentiality duty, professional rule, or third-party right;
  4. the content is not unlawful, defamatory, fraudulent, misleading, obscene, abusive, hateful, discriminatory, violent, spam, malware, or harmful.

You grant NexaMed a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, reproduce, modify, format, and use User Content solely for operating, securing, improving, supporting, and providing the Platform and related services, in accordance with the Privacy Policy and applicable law.

NexaMed may remove, restrict, or disable access to User Content that violates these Terms or applicable law.

NexaMed may allow patients to submit reviews, ratings, feedback, comments, complaints, or testimonials regarding healthcare providers or services.

Users submitting feedback agree that:

  1. feedback must be honest, lawful, based on genuine experience, and not defamatory, abusive, fake, paid, coerced, misleading, or malicious;
  2. feedback must not disclose another person's private medical information without authorization;
  3. NexaMed may moderate, reject, remove, hide, verify, investigate, or display feedback at its discretion and in accordance with law;
  4. NexaMed is not obligated to publish every review;
  5. providers may not manipulate reviews, create fake reviews, offer unlawful incentives, or pressure users to remove genuine feedback.

NexaMed may suspend accounts or take action against users or providers involved in review fraud, abuse, or manipulation.

You agree not to use NexaMed to:

  1. violate any law, regulation, professional guideline, court order, or contractual obligation;
  2. impersonate another person, patient, doctor, staff member, organization, or authority;
  3. upload false, forged, manipulated, or misleading medical records, prescriptions, reports, certificates, or identity documents;
  4. provide medical services without valid authorization;
  5. scrape, crawl, harvest, copy, download, or commercially exploit Platform data without permission;
  6. interfere with Platform security, availability, infrastructure, networks, APIs, or other users;
  7. upload malware, spyware, viruses, ransomware, or harmful code;
  8. attempt unauthorized access to accounts, systems, databases, health records, or APIs;
  9. reverse engineer, decompile, copy, modify, or create derivative works from NexaMed software;
  10. use automated bots, scripts, or agents without authorization;
  11. harass, threaten, abuse, defame, discriminate, or harm another person;
  12. send spam, unsolicited marketing, illegal promotions, or misleading communications;
  13. misuse AI Features to generate harmful, fraudulent, discriminatory, or clinically unsafe content;
  14. use NexaMed for emergency response when emergency services are required;
  15. do anything that may damage NexaMed, users, healthcare providers, or public trust in healthcare services.

Violation of this policy may result in account suspension, termination, content removal, legal action, reporting to authorities, or other appropriate measures.

All rights, title, and interest in NexaMed, including software, source code, object code, workflows, UI/UX, designs, graphics, logos, trademarks, service marks, trade names, databases, algorithms, AI workflows, documentation, APIs, templates, content, and platform architecture are owned by or licensed to Celron Ventures Private Limited.

These Terms do not transfer any intellectual property rights to users. Users receive only a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform in accordance with these Terms and applicable subscription terms.

Users must not use the NexaMed name, logo, brand assets, screenshots, product designs, or marketing materials without prior written permission, except where expressly allowed.

Any feedback, suggestions, ideas, improvements, or feature requests submitted to NexaMed may be used by NexaMed without restriction or compensation, unless separately agreed in writing.

Healthcare organizations, practitioners, staff users, integration partners, and enterprise customers may receive access to confidential information of NexaMed, patients, providers, or third parties.

Users agree to protect confidential information with reasonable care and to use it only for authorized purposes. Confidential information must not be disclosed except as permitted under these Terms, a written contract, patient consent, or applicable law.

Patient health information must be treated as highly confidential and accessed only by authorized persons with a legitimate need.

NexaMed uses reasonable technical and organizational measures to protect the Platform. However, no system is completely secure, uninterrupted, or error-free.

Users agree to promptly report suspected vulnerabilities, breaches, unauthorized access, or data leakage to NexaMed at pj@pranayjuneja.com. Users must not publicly disclose vulnerabilities or exploit them without written authorization.

NexaMed may temporarily suspend access, revoke tokens, rotate keys, restrict APIs, disable accounts, or take emergency security action where it believes such action is necessary to protect users, data, systems, or legal compliance.

NexaMed may release beta, pilot, preview, experimental, or early-access features. Such features may be unstable, incomplete, inaccurate, subject to change, or discontinued at any time.

Beta features are provided for evaluation and feedback only, unless otherwise agreed. NexaMed makes no guarantee that beta features will become generally available, remain free, or operate without errors.

Users must not rely on beta features for critical clinical, legal, billing, compliance, or emergency workflows unless expressly permitted in writing and appropriately validated.

To the maximum extent permitted by law, the Platform and services are provided on an "as is", "as available", and "with all faults" basis.

NexaMed disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, completeness, and clinical suitability.

NexaMed does not warrant that:

  1. the Platform will be uninterrupted, error-free, secure, or always available;
  2. any provider information, appointment slot, fee, review, record, AI output, or content will be accurate or complete;
  3. any healthcare provider will meet user expectations;
  4. any medical outcome will be achieved;
  5. any data will never be lost or corrupted;
  6. any third-party integration will remain available;
  7. the Platform will meet every regulatory, clinical, institutional, or business requirement of a user.

Some jurisdictions may not allow exclusion of certain warranties. In such cases, exclusions apply to the fullest extent permitted by law.

To the fullest extent permitted by law, NexaMed, Celron Ventures Private Limited, its directors, officers, employees, contractors, affiliates, licensors, vendors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or economic damages, including loss of profits, revenue, goodwill, data, business opportunity, clinical outcome, or reputation.

NexaMed shall not be liable for:

  1. medical negligence, wrong diagnosis, treatment error, prescription error, misconduct, or omission by healthcare providers;
  2. patient misuse, incorrect information, no-show, or failure to follow medical advice;
  3. provider unavailability, delay, cancellation, fee change, or refusal of service;
  4. third-party service failure, payment gateway error, network issue, device issue, or internet outage;
  5. inaccurate, incomplete, or unsafe AI output used without professional review;
  6. unauthorized access caused by user negligence or compromised credentials;
  7. loss arising from use of the Platform contrary to these Terms.

Subject to applicable law, NexaMed's total aggregate liability for any claim shall not exceed the greater of: (a) the amount paid by the claimant to NexaMed for the specific service giving rise to the claim during the three months preceding the claim; or (b) INR 1,000.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to defend, indemnify, and hold harmless NexaMed, Celron Ventures Private Limited, its directors, officers, employees, contractors, affiliates, licensors, vendors, and partners from and against any claims, losses, damages, liabilities, penalties, costs, and expenses, including reasonable legal fees, arising from or related to:

  1. your breach of these Terms;
  2. your misuse of the Platform;
  3. your violation of law or professional obligations;
  4. inaccurate, unlawful, or unauthorized data submitted by you;
  5. medical services, advice, diagnosis, prescription, treatment, or clinical decisions provided by you or your organization;
  6. unauthorized access caused by your failure to secure accounts or credentials;
  7. intellectual property, privacy, confidentiality, or data protection violations caused by you;
  8. disputes between patients and healthcare providers, except where caused solely by NexaMed's proven fault.

NexaMed may suspend, restrict, or terminate access to the Platform, with or without notice, where it believes that:

  1. a user has breached these Terms;
  2. information provided is false, incomplete, fraudulent, or misleading;
  3. a user poses security, legal, operational, reputational, financial, or clinical risk;
  4. payment is overdue;
  5. required verification is not completed;
  6. a provider's license, registration, or authorization is invalid, suspended, or disputed;
  7. required by law, court order, regulator, government authority, or law enforcement;
  8. continued access may harm patients, providers, NexaMed, or the public.

Users may stop using the Platform at any time. Account deletion, data export, or termination requests may be subject to verification, retention obligations, pending disputes, legal requirements, technical feasibility, and the Privacy Policy.

Where supported and required by law, users may request access, correction, update, export, or deletion of their personal data through designated channels.

NexaMed may refuse, limit, delay, or condition such requests where necessary for legal compliance, fraud prevention, dispute resolution, medical record retention, regulatory obligations, security, legitimate business purposes, or protection of another person's rights.

Healthcare organizations remain responsible for providing patient records, discharge summaries, invoices, reports, or other documents where required under applicable healthcare laws and their own legal obligations.

NexaMed will make reasonable efforts to acknowledge and resolve grievances in accordance with applicable law and internal policies.

For urgent medical concerns, users must contact the relevant healthcare provider or emergency services directly. NexaMed grievance channels are not emergency medical channels.

NexaMed may provide notices through email, SMS, WhatsApp, in-app notification, dashboard notification, website posting, phone call, or other reasonable means.

Users are responsible for keeping their contact details updated. Notices sent to the registered email address, phone number, or account dashboard may be treated as delivered.

Legal notices to NexaMed should be sent to the registered office and legal contact email specified on the Platform.

NexaMed may update these Terms from time to time. Updated Terms may be posted on the Platform with a revised "Last Updated" date.

Where required by law or where changes are material, NexaMed may provide additional notice. Continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms.

If you do not agree with updated Terms, you must stop using the Platform.

NexaMed shall not be liable for delay, failure, interruption, or non-performance caused by events beyond reasonable control, including natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government action, court orders, regulatory restrictions, strikes, internet failure, telecom failure, cloud provider outage, payment gateway failure, cyberattacks, power failure, fire, flood, or other force majeure events.

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to any mandatory applicable law, the courts and tribunals located at Delhi, India shall have exclusive jurisdiction over disputes arising from or relating to these Terms, the Platform, or the services.

For consumer disputes, statutory rights available under applicable consumer protection law shall not be excluded where they cannot legally be excluded.

Before initiating formal proceedings, users agree to first attempt to resolve disputes by contacting NexaMed support or the grievance officer with complete details of the issue.

NexaMed may attempt informal resolution through support review, provider coordination, refund review, technical investigation, or escalation to appropriate teams.

Enterprise, institutional, or subscription customers may be subject to separate dispute resolution provisions in their written contract, order form, or master services agreement.

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced or interpreted to the maximum extent permitted by law to achieve the original intent.

Failure by NexaMed to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of NexaMed.

Users may not assign or transfer their rights or obligations under these Terms without NexaMed's prior written consent.

NexaMed may assign, transfer, subcontract, or delegate its rights and obligations to an affiliate, successor, acquirer, investor, or business partner in connection with merger, acquisition, restructuring, financing, sale of assets, or business transfer, subject to applicable law.

These Terms, together with the Privacy Policy, subscription terms, order forms, consent forms, service-specific terms, and any written agreement executed with NexaMed, constitute the entire agreement between the parties regarding the Platform and supersede prior oral or written understandings relating to the same subject matter.
